Registering overseas offers into NZ

Overseas entities may be able to extend offers into NZ

If you are an overseas entity, you may be able to extend an offer that is registered in your home jurisdiction into New Zealand. This can be done under the mutual recognition of financial product offerings: Australia regulations, under the Asia Region Funds Passport regulations, or under an exemption granted by the Financial Markets Authority (FMA).

Who can register an overseas offer into New Zealand

To register an overseas offer on the Disclose Register you must:

  • have a RealMe® login
  • be a registered user of your organisation's online account
  • have authority to act on behalf of the issuer.

If you are registering an offer under the Asia Region Funds Passport regime, please refer to our specific guidance on this regime.

Make sure you have all the information and documents you'll need to complete your online application, including an opt-in notice.

Participant details — Overseas issuers

Issuers must first exist on the list of overseas issuers or the Overseas Register.

Register an overseas offer in New Zealand

To register an offer, log in to your organisation's online account and follow these steps.

  1. In the main menu, select ‘Disclose’.
  2. From the drop-down menu select ’Register an overseas Offer into New Zealand’.
  3. Complete the online form by entering your offer and participant details.
    • Select either ‘Australian recognition regime’ or ‘Other’ under the ‘Offered into New Zealand under’ drop-down box.
  4. Upload your documents for the offer.
  5. Review the details you have entered, then tick the declaration and select Submit. You can edit any details that have not been entered correctly, or download an extract of your application for your personal records.

Once you have submitted your application, you will receive onscreen confirmation that your application has been sent to us for acceptance. Your application will appear in your dashboard under the ‘Things in progress’ tab.

Exemption
