Registering foreign passport fund offers under the Funds Passport regime

An overseas entity from a country that’s a participant in the Asia Region Funds Passport regime may be able to extend an offer into NZ. The offeror must first be approved as a foreign passport fund by the Financial Markets Authority, and must be registered as a financial service provider in New Zealand.
Who can register an offer
To register an overseas offer on the Disclose Register you must:
- have a RealMe® login
- be a registered user of your organisation's online account
- have authority to act on behalf of the issuer.
Before you begin your application
If you are registering an overseas offer that is not under the Funds Passport regime, please refer to our guidance on other types of overseas offers.
Make sure you have all the information and documents you will need to complete your online application, including an opt-in notice. You will have 60 days to complete your application once you start.

Participant details — Overseas issuers
Issuers must first exist on the Disclose Other Participants list of overseas issuers or the Overseas Register.
Register a foreign passport fund offer
To register a foreign passport fund offer, log in to your organisation's online account and follow these steps.
- In the main menu, select ‘Disclose’.
- From the drop-down menu select ’Register an overseas Offer into New Zealand’.
- Complete the online form by entering your offer and participant details.
- Select ‘Asia Region Funds Passport’ under the ‘Offered into New Zealand under’ drop-down box.
- Upload your documents for the offer.
- Review the details you have entered, then tick the declaration and select Submit. You can edit any details that have not been entered correctly, or download an extract of your application for your personal records.
- Pay the registration fee and levy.
Once you have completed your payment, you will receive onscreen confirmation that your application has been sent to us for acceptance. Your application will appear in your dashboard under the ‘Things in progress’ tab.
The acceptance process
You need to send us your correctly completed application by 3pm NZT (working days) for same-day registration. Once your application is accepted, we will email you confirmation and advise the Financial Markets Authority (FMA). If you are a third party acting on behalf of the issuer, we will also email the issuer.
We may need more information
We may return an application for you to amend and resubmit it to us. Some reasons may include a document being illegible or page numbers being inconsistent.
In these situations, we will email you and return your application with a ‘Revise’ flag under the ‘Things to Do’ section of your dashboard. You can make the required corrections to your application by selecting the ‘Continue’ option next to that entry.
You have 5 working days from our notification to make any corrections and return the application to us. Your offer will be registered on the date your revised application is accepted, not the original date you sent it.
We may not accept for some reason
Some situations may require us to reject your application.
In these situations, we will email you and your application will show as rejected in the ‘Past Activity’ section of your dashboard.
If your application is rejected, you will need to complete a new application and pay a new registration fee.
