Participant details — Overseas issuers
Issuers must exist on the Disclose Other Participants list of overseas issuers or Overseas Register

To register an offer, you'll need to enter the issuer's name and the registration number that's been allocated to them on either the Disclose Other Participants list of issuers or the Overseas Register.
Check participants are on a register or directory
An overseas entity must exist as either:
- an entity that is recorded on the Disclose Other Participants directory within the Disclose Register, or
- a company on the Overseas Register.
Entities recorded as overseas issues on the Disclose Other Participants directory
You can search the Other Participants directory on the Disclose Register to find out whether your entity is already recorded as an overseas issuer.
If you need to record an overseas issuer, log into your organisation’s online account and follow these steps.
- In the main menu, select ‘Disclose’.
- From the drop-down menu select ’Record Other Participant (Overseas Issuers, Boards of Trustees, Other)’.
- Complete the online form by entering your participant’s details.
- When entering your participant details, select ‘Overseas Issuer’ under the ‘Participant type’ drop-down box.
- You must provide:
- the issuer's email address, so that we can communicate directly with the issuer (if you're a third party acting on behalf of an issuer, this must be the issuer's email address, not yours)
- an address for service in New Zealand, as well as a person authorised to accept service at that address.
- Select Submit to complete the form and add the participant to the directory.
The overseas issuer is now recorded on the Disclose Other Participants directory and you will see them listed in the Organisation Portfolio section of your Dashboard.
You will need to confirm your authority to act on behalf of the issuer to register their offer on the Disclose Register.
Company on the Overseas Register
Visit the Companies Register website to find out whether you're already registered on the Overseas Register.
To search the register follow these steps.
- Select 'Show advanced search' alongside the search field.
- From the drop-down menu under 'Entity type', select whether you're an:
- Overseas ASIC company, or
- Overseas non-ASIC company.
- Select 'Search'.
