Registering debt, equity and derivatives offers
You'll have 60 days to complete your application once you start
Debt and equity securities, and derivatives are types of financial products and can be offered to investors at different times with different terms and conditions.
Who can register a debt or equity security, or derivatives offer
To register debt and equity securities, and derivatives offers you must:
- have a RealMe® login
- be a registered user of your organisation's online account
- have authority to act on behalf of the issuer.
Before you begin your application
Make sure you have all the information and documents you will need to complete your online application.
Participant details
All participants in the offer must exist on another Companies Office register or directory.
Some participants to an offer will need to be registered as a Financial Service Provider (FSP) . FSPs who provide certain financial services also need to be licensed .

Register debt and equity securities, and derivatives offers
To start an application, log in to your organisation's online services account and follow these steps.
- In the main menu, select ‘Disclose’.
- From the drop-down menu select either ’Register an Offer of debt securities’, ‘Register an Offer of equity securities’, or ‘Register an Offer of derivatives’.
- Complete the online form by entering your offer and participant details.
- Upload your documents for the offer.
- Review the details you have entered, then tick the declaration and select Submit. You can edit any details that have not been entered correctly, or download an extract of your application for your personal records.
- Pay the registration fee, if applicable.
Once you have completed your payment, you will receive onscreen confirmation that your application has been sent to us for acceptance. Your application will appear in your dashboard under the ‘Things in progress’ tab.
Closed debt securities
If you are transitioning a closed debt security under Clause 21 of Schedule 4 of the Financial Markets Conduct Act 2013, you will need to lodge certain information, such as a trust deed, with us and the Financial Markets Authority. Email the information to us so we can update the issuer's registration on the Companies Register.

Extending an offer into Australia
If you are extending your offer into Australia under the Financial Market Conduct Regulations 2014, you will be required to provide us with a notice of intention.
